Terms of Service
AMZ Advantage is a small, hands-on operation - not a large agency with layers of account managers and a legal department. These terms aren't here to complicate things. They're here so we're both on the same page about how the engagement works, what to expect, and how we handle things if something comes up.
By accepting these terms - whether by checkbox or written confirmation - you agree to the following.
Services
- AMZ Advantage provides full-service Amazon Seller Central account management, which includes but is not limited to: PPC advertising management, product listing optimization, account health monitoring, catalog and inventory management, FBA coordination, design coordination, and reporting. Scope is agreed upon at the start of the engagement.
- Work performed varies month to month based on account needs, seasonal factors, and Amazon platform changes.
- Standard service includes regular account monitoring, PPC management, and periodic updates.
- Specific output volumes, task counts, or deliverable quantities are not guaranteed.
Billing
- Services are billed month-to-month, in advance, via Stripe.
- Your billing date recurs monthly and renews automatically unless cancelled.
- There is no long-term commitment or minimum engagement period.
Cancellation
- Either party may cancel at any time with written notice. Email is sufficient.
- No refunds are issued for the current paid billing period. Services continue through the end of that period.
- A smooth offboarding (access transition, campaign handoff, documentation) requires at least 7 days.
- If you cancel with fewer than 7 days remaining, the transition may be incomplete. AMZ Advantage is not responsible for gaps or disruptions from a rushed offboarding.
- AMZ Advantage may terminate immediately in cases of abusive or untenable client conduct, with a refund issued for the current billing period.
Amazon Marketplace
- Amazon.com is a third-party platform outside of AMZ Advantage's control.
- Amazon may suspend accounts, remove listings, change fees, alter algorithms, or modify policies at any time without notice.
- AMZ Advantage is not liable for any actions taken by Amazon - including actions triggered by changes made as part of normal account management (listing updates, keyword changes, ad adjustments, etc.).
Account Health & Compliance
- Amazon's compliance systems are largely automated and often operate as a black box. Routine actions like listing updates, keyword changes, image swaps, or category adjustments can trigger automated flags, listing suppressions, or account-level warnings - sometimes without a clear reason.
- AMZ Advantage will respond to listing suppressions, account health alerts, and compliance-related issues within 24 hours, 7 days a week.
- Our commitment is to take prompt action on your behalf - submitting appeals, providing documentation, and following Amazon's reinstatement processes. However, reinstatement decisions are made entirely by Amazon.
- AMZ Advantage makes no guarantees that suppressed or suspended listings, ASINs, or accounts will be reinstated. The outcome of any appeal or compliance case is solely at Amazon's discretion.
No Guarantee of Results
- AMZ Advantage does not guarantee specific outcomes - including sales, revenue, profit, ACOS/TACOS, rankings, BSR, or conversion rates.
- Results depend on factors outside our control including product quality, pricing, competition, demand, and Amazon's systems.
Limitation of Liability
- AMZ Advantage's total liability shall not exceed the amount paid for one (1) monthly billing period.
- AMZ Advantage is not liable for indirect, incidental, consequential, or punitive damages - including lost revenue, lost profits, lost sales, or business interruption.
- This applies regardless of whether such damages were foreseeable.
Client Responsibilities
- Provide and maintain Seller Central access with appropriate permissions.
- Respond to communications in a reasonable timeframe.
- Provide accurate product and business information.
- Ensure your products comply with applicable laws and Amazon's Terms of Service.
- Notify AMZ Advantage of material changes to your account or business.
- While AMZ Advantage manages day-to-day account operations and will flag issues as they arise, it is ultimately your responsibility to monitor whether the engagement is meeting your business goals. If expectations are not being met, it is on you to communicate that in a timely manner. Continued payment without raising concerns constitutes satisfaction with services rendered.
Disputes & Chargebacks
- Any concerns about services must be raised in writing within 30 days of the relevant billing date.
- After 30 days, services for that period are considered accepted and delivered.
- You agree to resolve disputes directly with AMZ Advantage before initiating a chargeback.
- Filing a chargeback for undisputed services is a breach of these terms.
Confidentiality
- Both parties agree to keep confidential any proprietary business information shared during the engagement - including credentials, sales data, strategies, and pricing.
- This obligation survives termination.
Intellectual Property
- Deliverables created for your account (listing copy, images, A+ Content, ad campaigns) become your property upon payment.
- AMZ Advantage retains ownership of internal processes, templates, and tools.
General
- These terms are governed by the laws of the State of Minnesota. Disputes are resolved in St. Louis County, Minnesota.
- AMZ Advantage may update these terms with written notice. Changes take effect at the next billing period. Continued use constitutes acceptance.
- These terms, together with any agreed scope and pricing, are the entire agreement between you and AMZ Advantage.

- By accessing or using this website, you agree to be bound by the terms below and all applicable laws and regulations.
- You agree to use this website for lawful purposes only. You must not use this website in any way that could damage, disable, overburden, or impair the site, or interfere with any other party's use of the site.
- All content on this website, including text, graphics, logos, images, videos, and software, is the property of AMZ Advantage or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or publicly display any content without prior written permission.
